These Terms of Use (“Terms”) govern the access to and use of the website, mobile applications, dashboards, APIs, SMS services and any other platform/tool developed from time to time under the brand DRISHTO (collectively, the “Platform”), owned and operated by Samrish Technologies Private Limited, a company incorporated under the Companies Act, 2013 (“Company”, “Samrish Technologies”, “We”, “Us”, “Our”).

By accessing, registering on, or using the Platform or Services, You agree to be bound by these Terms and the Privacy Policy, which forms an integral part of these Terms. If You do not agree, You must not access or use the Platform.

1. DEFINITIONS

• “Platform” means the DRISHTO website, mobile applications, SMS systems, APIs, dashboards, and any other software or tools developed by Samrish Technologies.

• “Services” means queue management services and allied services enabling organizations to issue, manage, notify and track queue tokens for end users through SMS, mobile applications or other electronic means.

• “Organization” / “Partner” / “Business User” means any legal entity or individual registering on the Platform to issue queue tokens to its customers.

• “End User” / “Customer” means any individual receiving or using queue tokens or notifications issued through the Platform.

• “User Information” has the meaning assigned under the Privacy Policy.

2. ELIGIBILITY AND REGISTRATION

2.1 You represent and warrant that:

You are at least 18 years of age;
You have the legal capacity and authority to enter into these Terms;
If registering on behalf of an Organization, You are duly authorized to bind such Organization.

2.2 Registration may require submission of Personal Information, business documents (including PAN, GST, bank details, licenses), and verification through OTP, email or other mechanisms.

2.3 You agree to provide accurate, complete and updated information at all times and shall be solely responsible for maintaining the confidentiality of login credentials.

3. SCOPE OF SERVICES

3.1 The Platform enables Organizations to:

Create and manage digital queues;
Issue queue tokens to End Users using phone numbers, SMS, mobile apps or web interfaces;
Send turn updates, alerts, reminders and notifications;
Access dashboards, reports and analytics related to queue operations.

3.2 The Company acts as a technology service provider only and does not control or manage the business operations, customer interactions, pricing, service delivery or compliance obligations of Organizations.

4. DATA COLLECTION AND USE

4.1 All collection, storage, processing, sharing and retention of User Information shall be governed by the Privacy Policy.

4.2 Organizations acknowledge and agree that:

They are responsible for obtaining all necessary consents from End Users for collection and use of phone numbers and related data;
They shall use End User data strictly for lawful purposes related to queue management and customer service;
They shall not misuse, sell, rent or exploit End User data for unlawful, unsolicited or unauthorized marketing.

4.3 The Company may use aggregated, anonymized and non-personally identifiable data for analytics, research, reporting and business improvement, as permitted under the Privacy Policy.

5. USER OBLIGATIONS

You agree that You shall not:

Use the Platform for any unlawful, fraudulent or malicious purpose;
Upload, transmit or share content prohibited under applicable law or the Privacy Policy;
Interfere with, disrupt or attempt to gain unauthorized access to the Platform or its infrastructure;
Impersonate any person or entity;
Use the Platform to send spam, misleading or deceptive communications.

The content restrictions listed under the “Use of the Platform” section of the Privacy Policy shall apply mutatis mutandis to these Terms.

6. SMS, COMMUNICATIONS AND CONSENT

6.1 The Platform may send transactional SMS, app notifications, emails or automated calls related to queue status and service updates.

6.2 Organizations confirm that:

They have obtained valid consent from End Users under applicable telecom, data protection and consumer laws;
They shall comply with TRAI, DoT and other applicable regulations.

6.3 The Company shall not be responsible for consent violations attributable to Organizations.

7. FEES AND PAYMENTS

7.1 Certain Services may be offered on a subscription, pay-per-use or customized pricing basis.

7.2 Fees, taxes and payment terms shall be as communicated separately and are non-refundable unless expressly stated otherwise.

7.3 The Company reserves the right to revise pricing with prior notice.

8. INTELLECTUAL PROPERTY

8.1 All intellectual property rights in the Platform, software, trademarks, logos, content and documentation belong exclusively to Samrish Technologies.

8.2 No license is granted except for a limited, non-exclusive, non-transferable right to use the Platform in accordance with these Terms.

9. THIRD-PARTY SERVICES

The Platform may integrate with or link to third-party services such as SMS gateways, cloud providers and payment processors. The Company is not responsible for acts, omissions or policies of such third parties.

10. SUSPENSION AND TERMINATION

10.1 The Company may suspend or terminate access immediately if:

These Terms or the Privacy Policy are violated;
Required by law or regulatory authorities;
User activities pose legal, security or reputational risks.

10.2 Users may terminate their account by written request. Data retention shall be governed by the Privacy Policy.

11. DISCLAIMERS

The Platform is provided on an “as is” and “as available” basis;
The Company does not guarantee uninterrupted or error-free Services;
Queue outcomes, customer satisfaction and business results are solely the responsibility of Organizations.

12. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Samrish Technologies shall not be liable for any indirect, incidental, consequential or punitive damages arising out of use or inability to use the Platform.

13. INDEMNITY

You agree to indemnify and hold harmless Samrish Technologies from any claims, losses, damages or penalties arising from:

Your violation of these Terms;
Breach of applicable laws;
Misuse of End User data.

14. GOVERNING LAW AND JURISDICTION

These Terms shall be governed by and construed in accordance with the laws of India. Courts at Delhi, India shall have exclusive jurisdiction.

15. AMENDMENTS

The Company may amend these Terms from time to time. Continued use of the Platform constitutes acceptance of revised Terms.
